Item 2.02 (results of operations)

Item 2.02 is a required section in SEC filings (official documents companies submit to regulators) where a company announces material events—basically, big news that could affect its stock price. You'll see this when a company reports earnings, wins a major contract, or faces a lawsuit. It matters because it's one of the first places investors look for breaking company news, and it's legally required to be accurate. For example, a retailer might file Item 2.02 to announce that quarterly sales dropped 15% due to supply chain issues. Think of it as the company's official "heads up" to investors about what's really going on.
